What is a state amendment?

In short

A state amendment updates the information a company gave its state when it registered. Filed as articles of amendment, it changes the legal name, the registered address, the members or officers, or the share structure. Once accepted, the state's public record shows the change.

Why do you need a state amendment?

The state's record is the version that counts. If your company changed its name or its owners and the state was never told, contracts, bank accounts and licences are all still tied to details that no longer describe the business.

It also holds other things up. A bank that finds a mismatch between your documents and the state's record pauses the account, and a buyer's diligence stops at the same discrepancy.

What do I receive once the amendment is effective?

Depending on the state, you will get a copy of the Articles of Amendment or a Certificate of Amendment once everything is processed.

Does my original formation document change?

No. Your Articles of Organization or Incorporation stay the same no matter what you update later. The amendment becomes part of your record and proves the change is official.

Is there anything an amendment cannot change?

A few things stay fixed: the original filing date, the incorporator or organizer, and the entity type. Changing your entity type is a different process. Reach out and we will walk you through it.

How long does an amendment take?

That depends on the state, since each one has its own forms and review timelines. We file promptly and follow it through to approval.

What do I need to get started?

It varies with the change, but generally your Articles of Organization or Incorporation, a Certificate of Status, member identification, and the details of what you want to update.

How do I change my LLC or Corporation name with the state?

By filing articles of amendment with the state that registered the company. Once accepted, the state's public record shows the new name and the old one stops being the company's legal name. The EIN, the formation date and the entity itself all carry over.

Does changing the name change my EIN?

No. The EIN belongs to the entity, not to the name, and a rename keeps it. The IRS does need to be told separately so the name attached to that EIN matches, which is a federal amendment rather than this filing.

Can I add or remove an owner with an amendment?

In many states yes, and in some it is required: if members or managers appear on the public record, changing them means amending it. The transfer itself is a separate document between the parties, and the amendment is what tells the state about it.

What does an amendment cost?

Our fee plus the state's own filing fee, and the second part varies widely by state. The exact state fee for yours is shown before you pay rather than added afterwards, because it is often the larger of the two numbers.

What are restated articles?

A single clean document that folds every past amendment into one current version. After three or four changes the original plus its amendments becomes hard to read, and some states prefer or require a restatement at that point.

Do I need an amendment if only my mailing address changed?

Not always. States distinguish between the registered office on the public record and a mailing address, and only the first usually requires an amendment. Changing your registered agent or registered office is the change that does.
