Do I have to have a kit?

It's not legally required anywhere, but it's strongly recommended. Banks, investors, and auditors expect organized records, and a kit keeps them all in one place instead of scattered across folders.

What colors and finishes can I pick?

The binder comes in black, blue, green, brown, or burgundy, with a two-tone textured vinyl cover and a metal triple-ring mechanism. Share certificates come in black, blue, or green.

Does the kit include the seal?

Yes. A custom embosser with your company name, state, and incorporation date is included with every kit.

Can I update it later?

Yes. The triple-ring mechanism opens fully so you can add amendments, new share certificates, or updated minutes whenever the company evolves. You can also order more certificates when you need them.

Is a corporate kit legally required?

The binder is not. The records inside it effectively are: most states expect a company to keep minutes, a ledger of who owns what, and its governing documents. The kit is simply the tidy way to hold what the law expects to exist.

What is a stock ledger, and what is a membership ledger?

They are the same idea for the two entity types: the running record of who holds what, how much, and since when. A Corporation keeps a stock ledger for shares, an LLC keeps a membership ledger for interests. It is the document that proves ownership.

Do I still need a company seal?

Rarely by law, but it still gets asked for. Some banks, notaries and foreign counterparties expect an embossed seal on certificates and resolutions, and it costs nothing to have one when that request arrives.

Can I keep the records digitally instead?

Yes. Most states allow company records to be kept in any form that can be reproduced, and a scanned ledger is a record. The kit exists because a physical book is harder to lose and easier to hand to an auditor or a buyer.

When will somebody actually ask to see it?

At a sale, a financing round, an audit, or a dispute. Each of those starts with somebody asking who owned what on which date, and the answer has to be a record rather than a recollection or a thread of emails.

What goes inside the kit?

The formation documents, the bylaws or operating agreement, the minutes of the first meeting and everything after, blank and issued certificates, and the ledger. Together they are the company's own account of its decisions and its ownership.
