An annual report is the periodic filing that keeps a company registered with its state. It confirms the current address, the registered agent and, in some states, the officers or members. Most states charge a fee with it. The name is misleading: some states ask every two years, a few not at all.
Miss it and the state does not send a reminder twice. The company falls out of good standing, late fees accrue, and after long enough the state administratively dissolves it, which means the entity you have been invoicing through no longer legally exists.
