What is a federal amendment?

In short

A federal amendment updates what the IRS holds about your business: the legal name attached to the EIN, the mailing address, or the responsible party. It is filed with the IRS rather than a state, and it does not replace amending your state record, which is a separate filing.

Why do you need a federal amendment?

The IRS expects to be told. A change of responsible party is reported on Form 8822-B within 60 days, and a business that skips it keeps sending notices to a person who no longer runs the company.

A mismatch here is also what makes filings bounce. When the name on a tax return does not match the name on the EIN, the return is rejected, and banks reading both documents pause the account until they agree.

Is this the same as a state amendment?

No. A state amendment updates your Articles of Organization or Incorporation with the state. A federal amendment updates the information the IRS has tied to your EIN, like your responsible party or address. Many companies need both, and we can handle each.

Does my EIN change when I file this?

No. Your EIN stays the same. The amendment only updates the details the IRS keeps on file for that EIN.

Why update the responsible party?

The IRS keeps the person who controls the entity on record for each EIN. When that person changes, updating it keeps your federal file accurate and avoids notices going to the wrong contact.

Will you need my SSN or ITIN?

No. We never collect SSNs or ITINs. We gather only the company information the federal form requires to process your change.

How long does it take?

How do I change my business name with the IRS?

It depends on the entity and whether a return has been filed yet. Some changes are made by ticking the name-change box on the annual return, others need a signed letter to the IRS office that handles your account. Both keep the same EIN.

What is Form 8822-B for?

It reports a change of business mailing address, business location, or responsible party to the IRS. A change of responsible party is due within 60 days, and it is the one most companies miss because nothing bounces when they skip it.

Who counts as the responsible party?

The person who actually controls or directs the entity and its funds, not necessarily the largest owner and not a nominee. The IRS wants a real person, and it wants to be told within 60 days when that person changes.

Will my tax return be rejected if the name does not match?

Yes, and it is a common reason a return bounces. The name on the return has to agree with the name attached to the EIN in the IRS's records. Until the two agree, filings are refused and banks reading both documents pause the account.

Does changing the responsible party change who owns the company?

No. The responsible party is an IRS contact, not an ownership record. Ownership changes are documented in the company's own records and, where the state requires it, in a state amendment. The two are separate filings and doing one does not do the other.

Do I need to tell the IRS when the company moves?

Yes, on Form 8822-B. The IRS sends notices by post, so an old address means letters about your account go to a place you no longer occupy. Most people find out when a deadline has already passed.
