How do I change my LLC's address?

Asked about 1,150 times a month on Google, across more than thirty phrasings: change the address, update the address, change it on the LLC. It usually comes up after a move, or when the address on file is a home the owner no longer wants in a state record.

Separate address records: registered office, state, IRS.

An LLC can have three addresses at once: a registered office where legal papers are delivered, the principal and mailing addresses on the state's record, and the address the IRS has for the business. Changing one does not change the others, which is why this question has more than one answer.

It tends to arrive after a move, or from an owner who formed the LLC at a home address and has just found it sitting in a public record.

Which address you are changing decides where the change goes, so start there. The registered office, the address in the state's record, and the address the IRS holds are three separate filings with three separate offices.

In Florida, the registered office or registered agent is changed with a statement of change, or on the annual report. The statute allows either. The principal office and mailing address live on the annual report, and the statute says that information must be current on the day the report is delivered. So the new address belongs on your next annual report at the latest.

In Delaware, the certificate of formation holds only the registered office and the registered agent, not a principal address, so there is no second address to update at the state. A registered agent changes the address of the registered office by filing a certificate with the Secretary of State, so if you use a commercial registered agent, it is their filing to make. Moving yourself does not move the registered office: it has to stay in Delaware, and a Florida LLC has to keep one in Florida.

The IRS keeps its own record. Form 8822-B reports a change of business mailing address or location, and the IRS asks that a change of responsible party be reported within 60 days. Updating the state does not update the IRS, and the reverse is also true.

Do I need a business license if I have an LLC?

Asked about 550 times a month on Google, often as "what is the difference between an LLC and a business license." It comes up right after formation, when the state's approval arrives and it is not obvious whether that approval is the license or something else entirely.
